We commenced operations in 1939, originally incorporated in Minnesota in 1954
and reincorporated in Delaware in 2001. As of December 31, 2018, all of our
outstanding capital stock was owned by Parent, which acquired the Company in a
recapitalization in May 2007 (the "Transaction"). Following the Business
Combination, Parent is controlled by THL Agiliti LLC, an affiliate of Thomas H.
Lee Partners, L.P. ("THL Stockholder").
